Terms of engagement

Agreement

By accepting a written estimate from Switchmatrixbase, you agree to these terms. If a signed estimate and these terms differ, the estimate prevails for fees, scope, and dates; these terms prevail for intellectual property, confidentiality, liability, and governing law. We may update this page; the version in force is the one published on the date you accept the estimate.

The work we accept

We prepare sales intelligence reporting, visual sales packs, monthly briefings, and channel or territory reviews, as described on this site. We do not provide bookkeeping, tax advice, legal advice, or software. An estimate describes the extract we will use, the cuts we will draw, the sittings included, and the language of the pack.

You confirm that you have the right to send us the figures, and that sending them does not breach a duty to your employer, partners, or customers.

Fees and payment

Fees are in Georgian lari and are quoted after we have seen a sample extract or heard enough to know the volume. A deposit may be required before a flagship report begins, as set out on the fees and cancellation page. Late payment may pause delivery of the pack or the sitting.

Confidentiality of sales figures

Invoice lines, customer names, and discount terms are treated as confidential. We use them to prepare the agreed work and to keep a project file. We do not use your figures in another client’s pack. We may refer, in general terms and without names, to the kind of cut we drew — for example, that we have reviewed HORECA discounting for an importer.

Intellectual property

You receive a licence to use the delivered pack inside your company, including printing and showing it to owners, lenders, or professional advisers bound to confidence. Switchmatrixbase retains copyright in the layout, the method of the agenda, and any original charting. You may not resell the pack, publish it as your own reporting product, or use it to offer similar work to third parties.

Extracts remain yours. We do not claim ownership of your invoice lines.

Liability

We prepare the pack with care from the extract you supply. We do not warrant that the pack is complete if the extract is incomplete, miscoded, or late. Our liability for a given engagement is limited to the fees paid for that engagement, except where Georgian law forbids a limitation (including liability for death, personal injury, or intent). We are not liable for commercial decisions you take after a briefing, including price changes, staff changes, or the closing of a channel.

Sittings

Briefing times are agreed in writing. If you arrive more than twenty minutes late without notice, we may treat the sitting as missed. Rescheduling and missed sittings are described on the fees and cancellation page.

Governing law

These terms are governed by the law of Georgia. The courts of Tbilisi have jurisdiction, without prejudice to any mandatory consumer protections that apply if you commission us as a natural person outside your trade.
